Chapter Constitution: Southern Illinois Chapter of the AATG
I. NAME
The name of this organization shall be SOUTHERN ILLINOIS CHAPTER OF THE AMERICAN ASSOCIATION OF TEACHERS OF GERMAN.
II. PURPOSE
The purpose of the Chapter conforms to that of the national Association. The Chapter exists to advance and improve the teaching of language, literatures, and cultures of the German-speaking countries at all levels of instruction within the geographic region served by this Chapter, and to foster cooperation among its members.

The administration of the Chapter shall be in the hands of an Executive Committee composed of the officers provided in Section IV, the immediate past President of the Chapter, and the heads of such standing committees as future developments may warrant.

The Chapter shall hold two annual meetings. One of these meetings may be held in electronic format. The time and place of the meeting shall be determined by the president after due consultation with the executive board. The members present shall constitute a quorum.

Special meetings may be held at the request of the President or any two members of the Executive Committee.
X. DUES
The regulation concerning dues contained in the Constitution and By-Laws of the national Association shall apply to this Chapter.

The president shall be responsible for the annual program and shall notify chapter members of this meeting within sufficient time.
XII. MINUTES
Minutes of the previous meeting shall be approved at each regular meeting.
XIII. COMMUNICATION
The chapter shall maintain a website for dissemination of relevant information to its members, as well as a secured list-serve for electronic meetings. The President shall appoint a chapter member to maintain the website and a chapter member to maintain the listserv.
XIII. TESTING CHAIR
The testing chair will arrange a committee consisting of no less than three chapter members to help with testing procedures for students learning German in the chapter area.

III. MEMBERSHIP
- Any teacher of German, or anyone interested in the teaching of German, may join the Chapter and the national Association upon payment of the annual dues as specified in the Constitution and By-Laws of the national Association, and may retain membership by payment of the annual dues each year.
- Payment of annual dues entitles members to receive official announcements of the Chapter, to participate in meetings, and to exercise all other privileges of membership, and no member in default is qualified to exercise any privilege of membership.
IV. OFFICERS
- Officers of the Chapter are the President, the Vice-President, the Secretary, the Treasurer, the Membership Chair, the Testing Chair, and the Member-at-Large.
- The President, the Vice-President, and the Secretary shall be elected for a term of two years. The Treasurer shall be elected for a term of three years. The Membership Chair and the Testing Chair shall be appointed by the president each year. The Member-at-Large position shall be elected for a year term.
- The President, Vice-President, and Secretary shall normally be elected for a term of two years renewable for one more term and are thereupon normally not eligible for reelection to the same office.
- In the event that the President resigns before the expiration of the term of office, the Executive Committee shall determine whether the length of the remaining term allows the Vice-President to serve the additional time in the office of President. Alternate arrangements, such as reinstating a past President or advancing all officers’ terms, shall be available.
- In the event that the Vice-President, the Secretary, or the Treasurer resigns before the expiration of the term of office, the President shall be entitled to appoint a successor for the remainder of the term. This appointee shall be approved by a vote at the next regular election.
- All officers must be members of the American Association of Teachers of German during their term of office.
V. ADMINISTRATION

- The president shall solicit nominations for vacant offices at least two months prior to the annual spring meeting.
- Nominees shall have two weeks to accept the nomination before the slate shall be made known to all chapter members.
- The slate shall be made known to all chapter members at least three weeks prior to time of election.
- Election shall be made by secret ballot of all chapter members. Additional nominations from the floor shall be invited.
- In the case of a contested position, the simple majority of members present shall elect the officer or committee member.
- New officers and members of the Executive Committee shall assume office on June 1.

VIII. CONSTITUTIONAL CHANGES
- By-laws may be adopted or changed at any annual meeting of the chapter by majority of the members present, provided that notice of the proposed changes is sent to all the members at least thirty days prior to such meeting.
- The constitution will be reviewed by members of the chapter every five years.
